YNG Participation Agreement
This YNG Participant Agreement (“Agreement”) is between YPO, Inc. (“YPO”) and the individual electronically agreeing to the terms of this Agreement (the “YNG Participant” or “you”) and is effective as of the date of your electronic agreement.
1. Overview. You agree that you will participate in YNG activities only if and so long as one of your parents is a YPO member and has paid the applicable fees for you to participate in YNG activities.
2. Confidentiality.
2.1 YNG Participant must not use or disclose any Confidential Information. "Confidential Information" means (a) names, contact information, and other personal information relating to a YPO member or family member of a YPO member; (b) proprietary and/or confidential information or material disclosed, provided or otherwise made available by YPO to YNG Participant that is marked “Confidential” or identified as confidential when disclosed; and (c) information that should reasonably be considered confidential in light of the circumstances surrounding its disclosure.
2.2 For purposes of this Agreement, “Confidential Information” does not include information or material: (a) in the public domain (other than as a result of a breach of this Agreement) that you obtained other than through your participation in YNG; (b) in your possession prior to your receipt from YPO; (c) independently developed by you without the use of Confidential Information; or (d) obtained by you from a third party under no obligation not to disclose such information.
2.3 YNG Participant may not reveal the identity of any YPO members or their family members to third parties without the express consent of such YPO member unless required by law.
3. Code of Conduct. By agreeing to become a member of the YNG program, you agree to abide by the YNG Code of Conduct attached to this Agreement as Appendix 1.
4. Intellectual Property.
4.1 “IP Rights” means all rights that exist under trademark law, copyright law, moral rights law, trade secret law, rights of publicity, patent law, or other similar protections, whether or not such rights are registered or perfected, and any other intellectual property or other personal or proprietary rights under the laws of any jurisdiction worldwide.
4.2 YNG Participant hereby acknowledges that the IP Rights of YPO, including the trademarks YPO, YNG, and the Triangle design, are the sole and exclusive property of YPO, and that YNG Participant does not acquire any interest in, or license to use, any IP Rights of YPO under this Agreement. YNG Participant shall not challenge or contest YPO’s sole ownership of any IP Rights or any registration of the trademarks YPO, YNG, the Triangle design, or other trademarks of YPO.
4.3 YNG Participant shall not use any of YPO’s IP Rights in any way, or take any action, that may harm, infringe, misappropriate, dilute, tarnish, or otherwise adversely affect YPO’s rights in or reputation associated with any IP Rights.
4.4 YNG Participant shall not represent in any way that YPO sponsors or supports any view or position of YNG Participant. Participants shall not use any IP Rights of YPO for their personal gain.
4.5 YNG Participant must not represent himself or herself as a YPO member.
5. YNG Local City Group Participation.
5.1 Once a group of at least 25 local YNGers want to form a “YNG Local city group”, the local YNGers must first formally align under a sponsoring local YPO or YPO Gold Chapter. If a local YPO or YPO Gold Chapter agrees to sponsor a YNG Local city group, you and that YPO Chapter may agree to allow you to participate in YNG activities with that YNG Local city group. The YNG Local city group may collect dues and user-pay fees for the YNG Local city group offerings, subject to approval by the sponsoring Chapter. YNG Local city group activities are not sponsored or endorsed by, or financed through, YPO.
5.2 If you are participating in a YNG Local city group, you must first obtain the approval of the local sponsoring YPO Chapter and you agree to participate in only approved chapter activities. If a group of local YNGers are not able to align with a local YPO or YPO Gold Chapter, you will not be permitted to use, and must not use, the YPO or YNG name or trademark for any YNG local activities.
5.3 Events organized outside of YPO Chapters, or without the sponsoring YPO Chapter’s approval, are not considered “YPO” or “YNG” events and must not be branded in any way with any YPO trademarks or the use of the YNG name. This includes no posting on discussion boards, no use of any YPO trademarks in marketing material, and no reference to YPO or YNG by any vendors or participants in the event.
5.4 Third Party Beneficiary. You agree that any YPO or YPO Gold chapter that sponsors a YPO Local city group that you participate in is a third party beneficiary to the terms of this Agreement, with the rights to enforce the terms hereof.
